The Board of Directors of the Company conducts the independent director familiarization programmes and provides overview of the following to the Independent Directors: a)  Criteria of independence applicable to the Independent Directors as per the Companies Act, 2013 and Listing Regulations; b)  Roles, functions, Duties, Responsibilities and liabilities of the Independent Directors; c)  Vigil Mechanism including policy formulation, disclosures, code for Independent Directors, obtaining Audit Committee approval, wherever required; d)  Risk Management systems & framework; e)  Dealing with Related party transactions under the Companies Act, 2013 and the Listing Regulations; f)  Industrial review and business model of the Company and g)  Loans and Investments under the Companies Act, 2013. The Independent Directors have attended such orientation process/familiarization programme. The Board and Committee meetings of the Company are held at least on a quarterly basis and members of the Board meet key functional/business heads separately to get themselves more familiarized with the business/operations and challenges faced by the industry on an ongoing basis.
